These Terms of Service (“Terms”) govern your access to and use of PaceGuard, a budget-management service that helps agencies and advertisers plan, monitor, and control advertising spend. By creating a workspace or using the service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
The service
PaceGuard provides budget planning, spend tracking, pacing dashboards, alerts, and spend-cap rules across the advertising accounts you choose to connect. PaceGuard is a budget guardian, not a campaign optimizer: it does not create, edit, or delete campaigns, ads, budgets, or targeting, and it does not perform automated bidding or performance optimization.
Accounts and access
- You must provide accurate account information and keep your credentials confidential. You are responsible for activity that occurs under your account.
- Workspace administrators control which team members can access which clients and ad accounts, and are responsible for those access decisions.
- You may only connect advertising accounts that you own or are authorized to manage on behalf of a client.
Connected advertising accounts
When you connect an advertising platform — such as Google Ads, Meta (Facebook) Ads, or LinkedIn Ads— you authorize PaceGuard to access it through the platform's official API via OAuth, as described in our Privacy Policy. Your use of each platform remains subject to that platform's own terms and policies, and you are responsible for complying with them. You can disconnect an account at any time, which revokes our access.
Automated actions
The core purpose of PaceGuard is to act on the spend-cap rules you configure. You understand and agree that:
- When a rule you configure is triggered, PaceGuard may pause the affected campaign in your advertising account, and may later re-enablea campaign that PaceGuard itself paused, according to the rule's settings.
- You are responsible for the rules you configure — including their scopes, caps, and actions — and for reviewing the alerts and action logs PaceGuard provides.
- Spend data is retrieved from the platforms periodically and may lag actual delivery. Advertising platforms may also continue to deliver (and bill for) ads for a period after a pause request. PaceGuard does not guarantee that spend will never exceed a configured cap, and is not responsible for charges billed by advertising platforms.
Acceptable use
You agree not to:
- use the service to access ad accounts you are not authorized to manage;
- interfere with or disrupt the service, or attempt to access it by any means other than the interfaces we provide;
- resell, sublicense, or make the service available to third parties except to your own clients as part of managing their advertising accounts;
- use the service in violation of applicable law or platform policies.
Your data
You retain all rights to the data in your connected advertising accounts. You grant PaceGuard the limited right to access, store, and process that data solely to provide the service, as described in our Privacy Policy. You can delete your data at any time as described on our Data Deletion page.
Availability and changes to the service
We work to keep PaceGuard available and reliable, but the service is provided “as is” and “as available”, without warranties of any kind, express or implied. We may modify, suspend, or discontinue features of the service; if we discontinue the service entirely, we will give you reasonable notice where practicable.
Limitation of liability
To the maximum extent permitted by law, PaceGuard and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or advertising spend, arising from your use of the service — including spend incurred on advertising platforms, actions taken by your configured rules, or delays and inaccuracies in platform-reported data. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months preceding the claim.
Termination
You may stop using the service and delete your workspace at any time. We may suspend or terminate access that violates these Terms. Upon termination, your connected accounts are disconnected and your data is handled as described on our Data Deletion page.
Changes to these Terms
We may update these Terms as the service evolves. Material changes will be announced in the application, and the “Last updated” date above always reflects the current revision. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
